ValidatedTrust.com License Agreement

This ValidatedTrust.com licensing agreement (hereinafter referred to as the "Agreement") is entered into between WJM.net, (An Arkansas Corporation) (hereinafter referred to as �WJM�) with its principal place of business at 2821 S. 58th St. Fort Smith, AR, 72903 and You (hereinafter referred to as �Licensee�) 
Licensee hereby submits that he or she is authorized to enter into such an agreement and has the requisite legal capacity to be bound by the terms and conditions contained herein.  Licensee must agree to the following terms and conditions to register for the Validated Trust Seal of Approval Service.

LICENSES AND OWNERSHIP

During the term of this Agreement, WJM grants to Licensee, a personal, non-exclusive, non-transferable, worldwide, royalty-free license to publicly display and reproduce copies of certain WJM proprietary marks and copyrighted material in the manner provided by WJM to be placed solely on Licensee�s site.  The license will become effective as soon as Licensee has registered for the Validated Seal of Approval Program.  Licensee is strictly forbidden from copying, reproducing or publicly displaying WJM�s proprietary marks in any form other than what has been described in this Agreement.  Further, licensee is strictly forbidden from using or displaying WJM�s proprietary marks on any site not listed within this Agreement, or on any products or other materials.   Should licensee use a third-party to host its site, licensee is granted the limited right to sublicense WJM�s proprietary marks to this third-party host in order to properly display WJM�s proprietary marks in accordance with the terms and conditions of this Agreement, and for no other reason whatsoever.

Licensee fully understands that WJM is the sole and exclusive owner of all of the intellectual property rights of any kind with regards to the WJM proprietary marks and the Validated Trust.  Licensee further agrees that any derivatives created by either party with regard to WJM�s proprietary marks will be the sole and exclusive property of WJM.  Licensee further agrees to refrain from engaging in any act that shall interfere or diminish WJM�s right in its intellectual property, either during the term of this Agreement or at any time prior to or afterwards.  Licensee will not in any way alter or modify WJM�s proprietary marks.  After receiving an electronic copy of WJM�s proprietary marks or an electronic code containing WJM�s proprietary marks, Licensee will refrain from changing the file name or data contained within the image, and must store the image on its server.  However, if Licensee outsources its server needs to a third-party with regard to the Internet site contained within this Agreement, Licensee will be responsible for assuring that this third-party conforms to the terms and conditions of this Agreement.
